MCP acquisisce il controllo di Mipharm S.p.A.

MANDARIN CAPITAL PARTNERS ACQUISISCE IL CONTROLLO DI MIPHARM SPA

Milano – 6 Dicembre 2016 – Mandarin Capital Partners II (MCP II) ha completato con successo l’acquisto di una quota di maggioranza nel capitale sociale di Mipharm Spa, azienda Italiana leader nel Contract Manufacturing Organization (“CMO”) attiva nella produzione e confezionamento di un’ampia gamma di farmaci in conto terzi (Finished Dosage Formulations) e nella fornitura di servizi di ricerca e sviluppo di nuovi prodotti e studi clinici basati sia sulle richieste dei clienti sia sull’attività di R&D interna.

L’investimento iniziale di MCP II ammonta a € 16.4 milioni, con l’obiettivo di incrementare l’investimento totale con future acquisizioni di Target selezionati. Cassiopea Partners (advisor finanziario del compratore), Euteam (Società di proprietà di Maurizio Silvestri – ex CEO di Euticals) e alcuni dei Managers di Mipharm hanno reinvestito con una quota di minoranza nella società.

L’attuale CEO, il Dott. Pierangelo Costa, continuerà a gestire la società. Nell’esercizio 2015, Mipharm ha realizzato ricavi per € 37.9 milioni, con circa 45 clienti (principali player nel mercato pharma, produttori globali di farmaci generici, altre società farmaceutiche) in 30 nazioni (e.g. nell’esercizio 2015 l’Export ammontava a circa il 65% del fatturato).

L’obiettivo dell’investimento è supportare la crescita internazionale della Società, facendo leva sul network di MCP II nei mercati Europei e Asiatici.

Cassiopea Partners e gli avvocati dello studio legale R&P Legal di Milano hanno agito rispettivamente come advisor finanziario e legale per MCP II; BPM e BPER hanno agito in qualità di banche finanziatrici dell’operazione. I venditori sono stati assistiti da Rothschild come financial advisor e dai legali dello studio legale Bonelli Erede Pappalardo di Milano per i profili legali.

Mandarin è stata assistita nel processo di due diligence da Ernst & Young (profili contabili e fiscali), R&P Legal (profili legali), Goetz Partners (analisi di business) e Tauw (analisi ambientale).


Milan – 6th December 2016 – Mandarin Capital Partners II (MCP II)  has successfully acquired a majority stake in the share capital of Mipharm Spa, an Italian leading Contract Manufacturing Organization (“CMO”) engaged in the manufacturing and packaging of a wide range of Finished Dosage Formulations (“FDFs”). The Group also provides product development services and clinical studies based on customer requirements and/or in house R&D.

MCP II total initial investment amounts to € 16.4 million, with the goal to increase the total investment with acquisitions of selected targets. Cassiopea Partners (Buyer’s financial advisor), Euteam (company owned by Mr. Maurizio Silvestri – ex CEO of Euticals) and some of Mipharm’s Managers invested alongside MCP II.

Current CEO Mr. Pierangelo Costa will continue to manage the company. Mipharm has posted sales of around € 37.9 m in 2015, with approx. 45 clients (Big Pharma, Global Generic companies, other pharmaceutical companies) located in 30 countries (i.e. in 2015 Exports account for about 65% of Revenues).

The investment is aimed at supporting international growth of the Company, leveraging on MCP II’s network and business development channels in the European and Asian markets.

Cassiopea Partners and the lawyers of R&P Legal of Milan acted respectively as financial and legal advisor for MCP II; BPM and BPER acted as financing banks providing the acquisition and M&A lines. The seller was supported by Rothschild as financial advisor and by the lawyers of Bonelli Erede Pappalardo as legal advisor.

The due diligence process was conducted by Ernst & Young (financial and tax areas), R&P Legal (legal area), Goetz Partners (business) and Tauw (Environmental).
